Terms of sale
1. Scope
These terms apply to services provided by SASU ITECHNOLOGIES (the “Provider”) to business clients (the “Client”). The Provider does not contract with consumers. The signed quote prevails in case of conflict. The French version of these terms prevails.
2. Quotes
Every service is preceded by a quote issued after scoping. It states the scope, deliverables, acceptance criteria, timeline and price. Any change of scope is covered by a written amendment.
3. Prices and payment
- Unless the quote says otherwise: 30% deposit on order, balance on delivery.
- Invoices payable within 30 days of their issue date.
- Late payment incurs late-payment penalties and a fixed recovery fee of €40 (articles L. 441-10 and D. 441-5 of the French Commercial Code).
4. Subcontracting
The Provider may entrust part of the services to subcontractors, in particular manufacturing (3D printing, CNC machining). It informs the Client and remains responsible to the Client for their proper performance.
5. Ownership of deliverables
Ownership of specific deliverables (code, files, adapted models, documentation) transfers to the Client after full payment, under the conditions written in the quote.
6. Liability
The Provider is bound by an obligation of means. An AI model’s results may contain errors: the Client remains responsible for checking them. The Provider’s liability is limited to direct damage and capped at the amount excluding tax paid for the service concerned.
7. Governing law
These terms are governed by French law. Failing an amicable settlement, the courts of the Provider’s registered office have jurisdiction.
